These terms and conditions (the "Terms and Conditions") govern the use of www.unrl.io (the "Site") and the services and/or products provided. This Site is owned and operated by UNRL Media Inc. This Site is an ecommerce website.

By using this Site, and accessing our services, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

Program Expectations

UNRL Media Inc. provides a comprehensive solution designed to enhance insurance sales effectiveness. Our services include sales training, coaching, community support, and live transfer calls to help our clients achieve optimal results.Sales is a high-pressure environment that does not offer predictable income or job security - our program strives to give you a platform to help you get consistent results but this is not a promise or a guaranteeThe reason Agents and Brokers continue to work with us is we care about your success - so much so that as long as you pay for your calls - the Community Access, the Sales Academy, the One on One Coaching, and the Group Training are all free.

Scope of Services

All services and products are provided “as-is”. At times, our platform may be unavailable due to 3rd party service interruptions or internal changes. Subscription dues will not be prorated in the event the platform is unavailable. All fees are due in advance of services.

a. Call Generation and Qualification

We utilize lead generation forms, landing pages, scheduled callbacks, TV ads, social media and SEO techniques to generate and pre-screen potential leads.

b. Each call is screened to ensure:

1. They consent to the call to review their life insurance and burial coverage options

2. They are 84 years or younger

3. They have a checking/savings bank account or direct express card account

4. They are in control of their finances

c. Open Access Service Commitment*

In order to deliver the advertised 25 call minimum in our Open Access subscription, it is necessary to have a 10-state minimum from our priority states AND average at least 25 active hours (logged in available for calls) per week. If you do not meet the time requirement we will not be able to supply you with the advertised minimum. It is up to you to manage your schedule availability.

In the event you do not receive the minimum advertised call volume, and you meet the minimum 10-state requirement and your activity time is at least 25 hours per week, we will offer an equivalent amount of calls at the end of your subscription period as an in-house credit. No cash value will be exchanged. Subscription dues will not be prorated or refunded. One day is equivalent to a maximum of 10 calls.

d. Pay Per Call Service Commitment**

In order to deliver your Pay Per Call balance within the allotted time frame (10-30 days depending on your order) it is necessary to have meet our 10-state minimum from our priority states AND average at least 25 active hours (logged in available for calls) per week.

If you meet the minimum requirements and do not receive your call balance within your allotted time frame, UNRL media will extend your service to accommodate your balance. No cash value, refunds or credits will be provided if service fulfilment happens outside of the allotted time.

Live Transfers

Pre-screened leads (as defined in section 3b) are transferred in real time to the client’s account within our call platform or forwarded directly to a number of their choosing.

Sales Training and Coaching

a. Group Training Sessions

Hosted Monday through Thursday from 6:00 PM to 7:00 PM Eastern, these sessions cover essential sales techniques, strategies, and role-playing exercises to improve performance.

b. One on One Coaching Calls

Personalized coaching is provided to address individual challenges, refine sales approaches, and develop tailored strategies for success.

c. Community Access

Clients receive exclusive access to our private Discord community, a collaborative platform where they can engage with peers, share strategies, receive updates, and participate in discussions moderated by our team of experts.

Delivery Criteria and Acknowledgment of Receipt of Service

All Live Transfer balances must be used within the allotted timeframe (10-30 days). Any unused balance will be forfeit. No cash value or in-house credit will be applied. If you are unable to complete your call balance in the allotted time, you must contact us, no later than 48 hours in writing at [email protected] to request an extension. Approval or denial of an extension is at the sole discretion of UNRL Media Inc. In the event an extension is granted, up to a maximum of 30 days will be permitted.

a. Live Transfers

A live transfer is considered delivered when a call connects to the client’s account or provided phone number with a prospect. Factors such as call duration, connection quality, or perceived lead quality will not affect delivery status. Delivery will be verified through call logs and/or call recordings.

b. Additional Services

Training, coaching, and Community Access services are considered delivered once the client makes a login attempt to the designated system or platform. Delivery will be verified through audit logs that provide details such as the date and time, email address, and, if possible, the IP address associated with the login attempt.Acknowledgment of receipt of services will be verified through the records and logs specified above.

Exclusions and Limitations

Live transfer success is based on several factors, including lead availability, market conditions, your own sales ability, etc. Therefore we cannot and do not guarantee success or any specific conversion rates or sales outcomes. All services and products are provided “as-is” without warranty.

a. Live Transfer Volume

Our team strives to provide steady live transfer volume to all clients, according to your service agreement. Occasionally, due to forces beyond our control, such as holidays, weather resulting in call center closure, 3rd party maintenance, agent availability, agent state list, etc. You may experience delays between your transfers. We do not prorate or offer refunds for any perceived or actual low volume periods.

b. Training Sessions

Group training sessions and coaching calls must be attended as scheduled; rescheduling is subject to availability.

c. Discord Community

Access to the Discord community requires adherence to community guidelines, and violations may result in suspension or removal without refund.

d. External Factors

External factors such as prospect availability, third-party systems, or non-participation in training sessions are beyond our control and do not fall within this description of service.

Payment Obligations

a. Fees

Your use of the Platform is subject to the timely payment of all Fees. Fees may change from time to time. All Fees are nonrefundable. Fees will be billed to the credit card we have on file. Fees for subscriptions will be billed in advance of Services. Your billing date will be set based on the first day you accessed the Platform or 10 business days from this agreement comes into force, whichever occurs first. You agree to provide us with accurate and complete billing information (name, address, credit card information, and phone number) and notify us of any changes within 10 days of the change. Delinquent accounts will incur a $45.00 per day late-charge up to a maximum of 10 days.

b. Noncancelable Fees

Subscriptions for Services require a non-cancellable minimum subscription commitment which cannot be canceled until the commitment is fulfilled. Fees for such non-cancellable minimum subscription commitments will continue to be automatically applied to your bill until the minimum commitment has been achieved. All Pay-Per-Call tiers require a 3-payment minimum. Due to being incentivized to start a new subscription - you are unable to pause or cancel or change my subscription until 3 payments have been made. Once the minimum payment schedule has been reached then you are able to pause or cancel or change your subscription moving forward.

c. Cancellations

You are solely responsible for the cancellation of Services associated with your account, and you will be responsible for all Fees incurred until such cancellation occurs. No refunds will be provided for your failure to properly cancel the Services associated with your account. All cancellation notices must be sent to [email protected] no later than 72 hours before your renewal period. Any cancellation notices received after this window will be applied to the next billing cycle.

If you wish to terminate your contract early, please request a buyout to [email protected]. Early termination requires a buyout in the amount of 30% of your remaining balance. Upon request of a buyout, your card will be charged. Please note, any outstanding balance at the time of early cancellation will be forfeit.

Service fees are determined based on the scope outlined above. Claims of “product not as advertised” will be assessed in accordance with this Description of Services, and any adjustments will require documented proof of deviation from these terms.

Refund Policy

All fees are due in advance of services. Due to the instant access nature of our platform, we do not offer any refunds.

In the event a transfer is sent to you that contains invalid information (as defined below) or otherwise nonconforming to our screening may, be returned, subject to the terms below as your exclusive remedy. If UNRL Media accepts your return request, UNRL Media will refund the transfer price paid by you as an in-house credit to your account balance, as described below. No cash value will be exchanged. UNRL Media reserves the right to conduct an independent investigation to determine the validity of the return and may approve or decline the return request in its sole and absolute discretion. In the event a return request is denied, the Agent is responsible for payment in full to UNRL Media for that Transfer. Once a return request is made, you must immediately stop using the Transfer and delete any copies of the Transfer in your possession or within your control. This includes a Transfer that has been shared or otherwise exported through a CRM or other tool. Failure to do so will result in immediate denial of your return request. If you utilize UNRL Media’s CRM you hereby grant us permission to remove this Transfer record in its entirety from your CRM, this includes but is not limited to, conversation history, task notifications, notes, contact information etc.

Transfer Return Process

All Transfer return requests must be submitted within 2 business days of receipt. To request a credit, open the Support Ticket >> Transfers >> Call Credit Request.

Agent must provide a detailed explanation for the return. Requests made outside of this window will be rejected. Agents with auto rebill off, must contact the support department for returns.

a. Credit Eligibility

Your Account Will Likely Be Credited for Any of the Following Reasons

1. Transfer was outside your provided geography (unless you do not have the required 10 state minimum)

2. Prospect disconnected while the Fronter transferred the call

3. Fronter not present (not applicable if you take raw calls or our TV inbounds)

4. Communication barrier due to language problems

5. The Transfer was disqualified due to age (85+)

Limitation of Liability, Indemnification, and Mitigation

Your exclusive remedy and our entire liability, if any, for any claims arising out of these Terms and your use of the Platform or the Services shall be limited to the amount you paid us for Services purchased on the Platform during the three (3) month period before the act giving rise to the liability.

IN NO EVENT SHALL UNRL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM MALICIOUS CODE, LOSS OF USE, DATA OR PROFIT LOSS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR THIRD PARTY SERVICES OR OF ANY WEBSITE REFERENCED OR LINKED TO FROM THE PLATFORM.

FURTHER, WE SHALL NOT BE LIABLE IN ANY WAY FOR THIRD PARTY SERVICES OR DISRUPTIONS THEREOF, OR THIRD PARTY PROMISES AND/OR STATEMENTS REGARDING OUR PLATFORM SERVICES OR CONTENT OR FOR TRANSACTIONS WITH THE THIRD PARTY THROUGH THE PLATFORM, INCLUDING WITHOUT LIMITATION THE PROCESSING OF ORDERS.

SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. PLEASE CONSULT THE LAWS IN YOUR JURISDICTION.

You agree to defend, indemnify, and hold UNRL harmless against all demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs or expenses (including without limitation reasonable attorneys’ fees and the costs of any investigation) directly or indirectly arising from or in any way connected with your use of the Platform (“Claims”), including, but not limited to: (a) our use of or reliance on information or data supplied or to be supplied by you, your employees, agents, or customers; (b) any breach of or default under these Terms by you, your employees, agents, or customers; (c) the wrongful use or possession of any UNRL property by you, your employees, agents, or customers; (d) any negligence, gross negligence or willful misconduct by you or your employees, agents, or customers; (e) misrepresentations by you, your employees, agents, or customers (f) violation(s) of applicable law by you, your employees, agents, or customers, (g) your actions and the actions of your employees, agents, or customers; (h) the acts or omissions of you, your employees, agents, or customers in connection with providing notice and obtaining consents regarding the origination or content of the SMS or MMS messages, email or other communications using the Services, (i) Taxes and other Fees and/or (j) any disputes between (1) you and other users (2) you and your client(s) and/or (3) your customers.

If the Platform is found to violate any third-party intellectual property right, at our option we may: (a) obtain the right for you to continue to use the Platform as contemplated by these Terms; (b) modify or replace the Platform, in whole or in part, to seek to make the Platform non-infringing; or (c) require you to immediately cease any use of the Platform.

a. Limitation On Time To File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN THREE (3) MONTHS AFTER THE EVENT GIVING RISE TO THE ACTION OR CLAIM OCCURRED, REGARDLESS OF WHEN YOU KNEW OR SHOULD HAVE KNOWN ABOUT IT; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

b. Injunctive Relief

You agree that a breach of these Terms will cause irreparable injury to UNRL for which monetary damages would not be an adequate remedy, and UNRL shall be entitled to seek equitable relief, in addition to any remedies it may have hereunder or at law, without having to post a bond or other security.

c. Waiver And Severability

No waiver by UNRL of a term or condition set forth in these Terms shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of UNRL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Change of Control

UNRL may assign its rights under these Terms at any time, without notice to you. You may not assign your rights under these Terms without UNRL’s prior written consent which may be withheld at UNRL’s sole discretion.

Term and Termination

These Terms will remain in full force and effect so long as you are under commitment of this service agreement and/or maintain a Platform Account. The sections of these Terms that are intended to survive termination of your Platform Account will remain binding even after you are no longer a Platform user.

a. Grounds for Termination

You agree that UNRL, in its sole discretion, may suspend or terminate your access to the Platform (or any part thereof) for any reason, with or without notice, and without any liability to you or to any third party for any claims, damages, costs or losses resulting therefrom. Any suspected fraudulent, abusive or illegal activity may be grounds for barring your access to this Platform, and reporting you to the proper authorities, if necessary.

b. No Right to Services Upon Termination

Upon termination and regardless of the reason(s) motivating such termination, your right to use the Platform will immediately cease. UNRL is not liable to you or any third party for any claims for damages arising out of any termination or suspension or any other actions taken by us with regards to your Platform access.

c. Inactive and/or Delinquent Accounts

UNRL reserves the right to delete/remove Platform Accounts that have remained inactive or delinquent for at least 90 days, without notice. If your account is removed for inactivity any training material, lead records, and/or user access will be permanently destroyed, except where required by law. All call balances will be forfeit, no cash value or in-house credits will be applied.

d. Force Majeure

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of the Platform or any associated product or service through the Platform arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to: labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

Applicable Law, Binding Arbitration, and Class Action Waiver

PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY REQUIRE YOU TO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION.

The laws of the Province of Ontario will govern these Terms of Service and any disputes under them, without giving effect to any principles of conflicts of laws.

Any controversy or claim arising out of or relating to these Terms shall be exclusively settled by arbitration administered by the Sugar Law Group in accordance with Commercial Arbitration Rules, then in effect. This arbitration provision is governed by the Federal Arbitration Act. The arbitration proceedings shall be held in Toronto, Ontario. Any arbitration award may be entered in a court of competent jurisdiction.

All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

Communications and Contact Information

All notices to a party shall be in writing and shall be made via email. Notices to UNRL must be sent to [email protected]

You agree to allow us to submit notices to you either through the email address you provided when registering, or to any address we have on record. Notices are effective on receipt.

UNRL may contact you regarding these Terms using any information you provide, or by any other means if you do not provide contact Information. If you no longer wish to receive communications from UNRL, you can click on the “unsubscribe link” provided in such communications or contact us at [email protected]

When you create a Platform account, you must designate a primary email address that will be used for receiving electronic communication related to these Terms. UNRL will never send you an email requesting confidential information such as account numbers, usernames, or passwords, and you should never respond to any email requesting such information. If you receive such an email purportedly from UNRL, do not respond to the email and notify UNRL by emailing us at [email protected]

UNRL Media reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms.
